AWD End User License Agreement

This End User License Agreement ("Agreement") is between you and OMI OPTICS USA LLC ("we", "us", "our") and governs your use of AWD (Agent Window Dashboard), including the application and any documentation provided with it (together, the "Software"). By installing or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.
AWD is not open-source software. This Agreement grants you a license to use it; it does not grant any right to its source code.
1. License
Subject to this Agreement, we grant you a free of charge, non-exclusive, non-transferable, non-sublicensable license to download, install and use the Software, in the executable form we distribute, on Apple computers that you own or control, for personal or business purposes.
2. Restrictions
You may not, and may not permit anyone else to:
- copy the Software, except as needed to install it and to keep a backup;
- distribute, publish, sublicense, sell, rent, lease or lend the Software, or make it available for others to download; obtain it only from us;
- modify, adapt, translate or create derivative works of the Software;
- reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits this despite this limitation;
- remove or alter any copyright, trademark or other notice in the Software.
3. Ownership
The Software is licensed, not sold. We and our licensors keep all right, title and interest in the Software, including all intellectual property rights. The names AWD and Agent Window Dashboard and the AWD icon are ours. If you send us feedback, we may use it without any obligation to you.
4. Updates and future versions
This version of the Software is provided free of charge. We may offer updates, other versions or additional features under different terms; any such terms will be presented to you before they apply. Nothing in this Agreement obliges us to provide updates, maintenance or support.
5. What the Software does on your computer
The Software needs your permission, granted in macOS, to record the screen and to control iTerm2. It reads and moves the windows of iTerm2, which is third-party software governed by its own terms, and it never sends input to a terminal session. It relies on the behavior of macOS, including interfaces Apple does not document, which may change and cause the Software to stop working in whole or in part.
The Software requires no account and does not collect usage data. It contacts our servers only when you ask it to check for updates, to read a public release manifest.
6. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL PRESERVE THE POSITION, SIZE OR DESKTOP OF ANY WINDOW.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE OR DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions do not allow certain warranties or damages to be excluded or limited, so some of the above may not apply to you.
8. Termination
This Agreement applies until it is terminated. It terminates automatically if you fail to comply with it. You may terminate it at any time by deleting the Software. On termination you must stop using the Software and delete all copies. Sections 2, 3, 6, 7, 9 and 10 survive termination.
9. Export
You must comply with all applicable export control and sanctions laws of the United States and other countries in using the Software.
10. Governing law
This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The state and federal courts located in California have jurisdiction over any dispute arising out of or relating to this Agreement.
11. General
This Agreement is the entire agreement between you and us about the Software. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement; we may assign it in connection with a merger, acquisition or sale of assets. We may update this Agreement; the version provided with a release of the Software applies to that release.
